    ICS is a wholly owned subsidiary of Institutional Shareholder Services, Inc. (“ISS”), the world’s leading provider of corporate governance solutions, and is headquartered in Rockville, MD. This position will be based in either New York, NY or Rockville, MD.


    This is a client-facing role that provides consultative and advisory services centered on executive compensation and corporate governance to senior executives at the world’s largest companies. Our advisors work with over 60% of the S&P 500 and a third of the Russell 3000 companies. You will use ISS Corporate Solutions’ proprietary data and tools to form and sustain ongoing relationships with senior client executives – understanding their needs and providing advisory services and expertise on executive compensation and corporate governance trends and best practices. Your day-to-day responsibilities will include:

    • Helping clients anticipate concerns and maximize investor support for their management Say-on-Pay proposals. Assessing the alignment between CEO pay and company performance over a multi-year period to determine if the underlying executive pay program is reinforcing or exacerbating the link between executive pay and shareholder interests.
    • Assisting with client equity plan proposals to develop shareholder value transfer cost estimates, reviewing plan provisions to ensure alignment with corporate governance and market best practices, and analyzing historical grant activity in order to secure shareholder support for new share authorizations.
    • Helping clients understand the strengths and weaknesses in their governance risk profile by evaluating critical corporate governance factors including board structure, compensation, shareholder rights, and audit and risk oversight.
    • Preparing Named Executive Officer (NEO) and non-employee director competitive pay analyses to assess alignment of pay program relative to peer practice.
    • Evaluating difficulty of target incentive goals under short-term and long-term incentive programs via Monte Carlo simulations utilizing historical financial performance, future analyst expectations and overall trends in growth rates to determine if goals are sufficiently rigorous and challenging for executives.
    • Participating on webinars, panels, and other public forums to communicate our unique intellectual capital and perspective.

    This position requires 5% - 10% travel or less.


    • BA degree in Finance, Business, Economics, or a related field with an exceptional performance record
    • MBA or other related graduate degree preferred
    • Minimum 2 years relevant work experience
    • Prior compensation and/or governance consulting experience is a plus
    • Technical comfort (including the ability to quickly learn and train on customized computer applications)
